These Terms of Service (“Terms”) govern your use of websites, services, products, software, and applications provided by Rodrigues Media Group, LLC (“Rodrigues Media,” “we,” “us,” or “our”).

By using our website, engaging our services, purchasing products or services from us, or using software or applications operated by us, you agree to these Terms.

Specific projects or services may also be governed by a proposal, statement of work, service agreement, license agreement, order form, or other written agreement. If a separate written agreement conflicts with these general Terms, the terms of the specific agreement will control with respect to that service or project.

Services

Rodrigues Media Group, LLC may provide services including, but not limited to:

• Photography
• Videography
• Photo and video editing
• Content creation and media production
• Website design and development
• Website hosting and maintenance
• Software development
• Web and mobile applications
• Technology consulting and support
• Digital products and online services
• Related creative, media, and technology services

Services may change or expand over time.

Estimates, Proposals, and Project Scope

Pricing, deliverables, schedules, revisions, and project requirements may be established through estimates, proposals, invoices, statements of work, or other agreements.

Work requested outside the agreed project scope may require additional fees.

Unless otherwise stated, estimates are not guarantees of final cost when project requirements materially change.

Payments

Clients are responsible for paying all charges according to the applicable invoice, proposal, contract, subscription, or service agreement.

Deposits or advance payments may be required before work begins.

Unless otherwise agreed, fees already earned for completed work are non-refundable.

Rodrigues Media may suspend work, hosting, software access, support, or other services when an account is materially past due, subject to any applicable agreement or law.

Photography and Videography

Photography and videography projects may be subject to additional terms concerning:

• Scheduling
• Deposits
• Cancellations and rescheduling
• Travel
• Location access
• Production requirements
• Editing and retouching
• Delivery schedules
• Image or video licensing
• Usage rights
• Model or property releases
• Archival of project files

The specific agreement for a photography or video project controls where it differs from these general Terms.

Creative Decisions

Unless otherwise agreed, Rodrigues Media retains reasonable creative discretion regarding photography, filming, editing, color grading, retouching, design, layout, and other creative decisions.

Websites and Software Development

Clients are responsible for providing accurate requirements, content, approvals, credentials, and other materials reasonably necessary to complete development projects.

Project schedules may be affected when required materials, approvals, feedback, or access are delayed.

Unless otherwise agreed in writing, additional features or material changes requested after the scope has been established may require additional fees and development time.

Client-Provided Content

Clients represent that they have the necessary rights and permissions to provide any photographs, videos, logos, trademarks, text, music, data, software, graphics, or other materials supplied to Rodrigues Media.

Clients are responsible for claims arising from materials they provide when Rodrigues Media uses those materials as authorized.

Intellectual Property

Ownership and licensing of project deliverables may be specified in the applicable project agreement.

Rodrigues Media retains ownership of its pre-existing intellectual property, internal tools, software libraries, development frameworks, processes, techniques, templates, and other materials unless expressly transferred in writing.

Third-party software, fonts, stock media, plugins, libraries, themes, APIs, and similar materials remain subject to their respective licenses.

Portfolio and Promotional Use

Unless otherwise prohibited by a written agreement, Rodrigues Media may display completed work for portfolio, demonstration, award submission, marketing, or promotional purposes where doing so is appropriate and does not disclose confidential information.

Specific photography, video, or confidential commercial projects may be subject to separate usage agreements or restrictions.

Hosting and Online Services

Hosting, websites, applications, and online services depend upon internet connectivity, data centers, cloud infrastructure, telecommunications networks, domain registries, third-party providers, and other systems outside our direct control.

While Rodrigues Media takes reasonable measures to provide reliable services, uninterrupted or error-free availability is not guaranteed.

Maintenance, security updates, infrastructure failures, cyberattacks, software defects, provider outages, or other circumstances may occasionally result in temporary service interruption.

Software and Applications

Software and applications are provided subject to their applicable subscription, licensing, account, or service terms.

Users may not:

• Attempt unauthorized access to systems or accounts
• Circumvent security or access controls
• Interfere with service operation
• Use services to distribute malware or malicious code
• Abuse, attack, probe, or overload infrastructure
• Use services for unlawful activity
• Attempt to obtain data they are not authorized to access

We may suspend or terminate access when reasonably necessary to protect our systems, customers, or other users.

Third-Party Services

Our work may rely upon third-party services such as hosting providers, domain registrars, payment processors, cloud platforms, APIs, plugins, software libraries, social networks, or other technology providers.

Rodrigues Media is not responsible for outages, policy changes, pricing changes, discontinued services, account restrictions, data loss, or other actions caused solely by third-party providers outside our reasonable control.

Backups and Data

We may maintain backups for certain managed services as part of our normal operations. Unless a specific backup or archival commitment is included in a written service agreement, clients should not rely on Rodrigues Media as the sole permanent repository for important files or data.

Clients should maintain appropriate copies of important business data and final deliverables.

Confidentiality

Rodrigues Media will use reasonable care when handling non-public client information obtained in connection with a project.

Additional confidentiality obligations may be established through a separate nondisclosure or service agreement.

Warranties

Rodrigues Media will perform professional services with reasonable care consistent with the applicable agreement.

Except where expressly stated in writing or required by law, websites, software, applications, hosting, and other digital services are provided on an “as is” and “as available” basis without warranties of uninterrupted operation or fitness for every particular purpose.

Limitation of Liability

To the fullest extent permitted by applicable law, Rodrigues Media Group, LLC will not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use our services.

To the fullest extent permitted by law, our aggregate liability relating to a particular paid service will not exceed the amount paid to Rodrigues Media for the service giving rise to the claim during the applicable project or service period.

Nothing in these Terms excludes liability that cannot legally be excluded.

Indemnification

To the extent permitted by law, users and clients agree to indemnify and hold Rodrigues Media Group, LLC harmless from third-party claims arising from unlawful use of our services, violation of these Terms, or materials supplied by the client that infringe another party’s rights.

Cancellation and Termination

Cancellation policies may vary by service and may be specified in a proposal, contract, invoice, subscription, or other agreement.

Rodrigues Media may suspend or terminate services for material nonpayment, unlawful activity, security threats, abuse of services, or material violations of applicable agreements.

Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Changes to These Terms

We may update these Terms periodically. Updated Terms will be posted on this page with a revised “Last Updated” date.

Continued use of our websites or services after an update constitutes acceptance of the revised Terms where permitted by law.
